Number and election of directors; terms; removal from office
- Statute:
- Alabama §10A-3-2.09 · Chapter NP (Alabama Nonprofit Corporation Law (Ala. Code Title 10A Ch. 3))
- Topic:
- Governance · Directors, terms, removal
- Applies to:
- Nonprofit associations
There must be at least one director. Number, terms, and manner of election are set by the certificate of formation and bylaws. A director is removed by whatever procedure the certificate of formation provides — Alabama's nonprofit law does not set a single default removal rule, so removal turns on the community's governing documents. Condo associations also have the two-thirds removal path in §35-8A-303 after transition.
