A director shall perform duties in good faith, in a manner the director believes to be in the corporation's best interests, and with the care an ordinarily prudent person in a like position would use — including reasonable inquiry. A director who does so has no liability for an alleged failure to discharge the director's obligations. This is California's business-judgment rule for HOA boards.
