Unless the bylaws require a greater number, a quorum of the board is a majority of the number of directors in office immediately before the meeting. If a quorum is present, the affirmative vote of a majority of directors present is the act of the board. CCIOA §38-33.3-309 defaults a board quorum at 50 percent of the board's votes.
