A director must act in good faith, with the care an ordinarily prudent person in a like position would exercise under similar circumstances, and in a manner the director reasonably believes to be in the best interests of the corporation. Directors may rely on officers, counsel, and accountants they reasonably believe are reliable. From 1 January 2027, SB 406 §43-17A-7 restates that same ordinary-care expectation as an owner right.
