The corporation must keep correct books of account, minutes of members, board, and committees, and at its registered or principal office a record of the names and addresses of members entitled to vote. A voting member may inspect books and minutes at a reasonable time for a proper purpose, on written demand that names the records and the purpose. If the corporation refuses, the member may sue. Burden of proof: the member must show a proper purpose for books of account; the corporation must show the member does not have a proper purpose for minutes. CPA §19 and CICAA §1-30 are the association-specific overlays and control where they speak.
