The board is at least three natural persons, each a lot owner or a juridical-person lot owner's representative (or one per lot if there are fewer than three lots). A special meeting to elect the post-declarant board is held at least 30 days before declarant control ends, on 30-to-60-day notice. Directors and officers owe Nonprofit Corporation Law care and loyalty; money-damages liability is limited as R.S. 9:2792.7 and this section provide.
