A nonprofit corporation must keep as permanent records minutes of member and board meetings, executed consents, committee-as-board action, and waivers of notice; must maintain appropriate accounting records; and must keep a membership record that can produce an alphabetical list by class showing each member's votes. Records may be electronic if they can be put in writing in a reasonable time. Both association Acts also require detailed minutes and itemized financials.
