Unless the articles or bylaws require more, a board quorum is a majority of the fixed number of directors (or of the number prescribed, for a variable-range board). If a quorum is present, the affirmative vote of a majority of directors present is the act of the board. A director who is present is deemed to assent unless the director's dissent or abstention is entered in the minutes or delivered in writing as this section requires. The association Acts default a board quorum at one-half of the board's votes.
