Default is one vote per member (or one per share). Proxies are allowed unless the articles or bylaws prohibit them; they die at 11 months unless a shorter or longer definite period is stated, and never last more than 3 years. Except as the documents or this Chapter provide otherwise, a majority of votes actually cast decides a matter; directors are elected by plurality.
