Unless this Chapter or the documents say otherwise, a majority of the voting members present in person or by proxy is a quorum. Once organized, those present may continue even if withdrawals drop the count below that majority. If the first meeting lacks a quorum, a second meeting noticed under §12:230 may elect directors with whoever attends, and for other purposes (including amending articles or dissolving) any number present is a quorum. PCA owner quorum (20 percent, §1141.27) controls planned-community association meetings.
