Each corporation must have a board of directors. All corporate powers are exercised by or under the authority of, and the affairs managed under the direction of, that board, except as this Act or subsection (3) provides. The articles may authorize a person or persons to exercise some or all of the powers that would otherwise be the board's; those persons then have the directors' duties to that extent.
