Members' right to inspect and copy corporation records; requirements

A member may inspect and copy the principal-office records listed in §79-11-283(5) at a reasonable time and place the corporation specifies, on at least five business days' written notice — no purpose need be stated for those. Accounting records, meeting-minute excerpts not already covered, and the membership list require the same five-business-day notice plus a demand made in good faith for a proper purpose, described with reasonable particularity, and directly connected to that purpose. Litigation inspection rights and a court's power to compel production are preserved. The member's agent or attorney has the same inspection rights (§79-11-287).
