The board may authorize members to participate in a meeting by remote communication, and unless the articles or bylaws prohibit it, may hold a meeting solely by remote communication. Remote participants count as present and may vote if the corporation verifies each person is a member and gives a reasonable opportunity to participate, communicate, and vote substantially concurrently with the proceedings.
