A majority of the number of directors fixed by the bylaws (or stated in the certificate of formation) is a quorum unless the governing documents provide otherwise, but a quorum may not be less than one-third of that number. The act of a majority of directors present at a quorate meeting is the act of the board unless a greater number is required. If a quorum is present when the meeting convenes, the directors may continue until adjournment even if withdrawals drop the count below a quorum.
