A corporation with members shall hold a membership meeting annually at the time the bylaws fix. Default place is the principal office if the bylaws are silent; meetings may be in or out of Mississippi. At the annual meeting the president and chief financial officer report on activities and financial condition. Failing to hold the meeting does not invalidate corporate action. The articles or bylaws may provide that the meeting is held by Internet or other electronic communications technology if members can read or hear the proceedings substantially as they happen, vote, pose questions, and comment.
