Give member-meeting notice in a fair and reasonable manner consistent with the bylaws. Fair and reasonable if the corporation notifies members of place, date, and time no fewer than 10 days (or 30 days if mailed by other than first-class or registered mail) and no more than 60 days before the meeting. Annual-meeting notice must describe any matter that members must approve under the listed sections; special-meeting notice must describe the matters for which it is called. Unless the bylaws require otherwise, an adjournment to a new date, time, or place announced before adjournment needs no new notice unless a new record date is fixed.
