Hold a special members' meeting on call of the board or anyone the articles or bylaws authorize, or if holders of at least 5 percent of the voting power sign, date, and deliver a written demand describing the purpose. If notice is not given under §79-11-205 within 30 days after the demand is delivered to a corporate officer, a signer of the demand may set the time and place and give notice. Only matters described in the notice may be conducted. Articles or bylaws may allow a fully electronic special meeting on the same hear-or-read, vote, question, and comment terms as the annual meeting.
