Every nonprofit has officers with titles and duties stated in the bylaws or in a board resolution consistent with the bylaws, enough to sign instruments this Act requires. One officer records the minutes of member and director meetings. Default: the board elects or appoints officers annually. If the bylaws so provide, the same person may hold two or more offices. Condo bylaws must still provide for a president, treasurer, and secretary (§47-7C-6).
