If the articles or bylaws so provide, the board by a majority of directors in office may designate committees of two or more directors. A committee may exercise board authority to the extent the creating resolution and this section permit, but it may not amend bylaws, elect or remove directors or officers, amend articles, merge, sell substantially all assets, dissolve, or override a board resolution that says a committee may not touch it. Designating a committee does not relieve the board or any director of legal responsibility.
