A majority of the number of directors fixed by the bylaws (or stated in the articles) is a quorum unless the documents provide otherwise, but a quorum may not be less than one-third of that number. The act of a majority of directors present at a quorate meeting is the act of the board unless a greater number is required. Once attained, a quorum continues until adjournment even if withdrawals drop the count below a quorum. Condo boards overlay the 50 percent default in §47-7C-9.
