Articles or bylaws may limit, enlarge, or deny voting rights. Unless they do, each member has one vote. A member may vote in person or, unless the documents provide otherwise, by written proxy or via simultaneous remote electronic means. A proxy is not valid after 11 months from execution unless the proxy itself says otherwise. Bylaws may allow director or officer elections by mail. Cumulative voting for directors exists only if the articles or bylaws provide it. If there are no voting members, the directors have the sole voting power.
