Statute:
New Mexico §53-8-13 · Article NP (New Mexico Nonprofit Corporation Act (NMSA Chapter 53 Article 8))
Topic:
Meetings & Voting · Annual and special meetings
Applies to:
Nonprofit associations

Member meetings are held where the bylaws provide; default is the registered office in New Mexico. Hold an annual meeting at the time the bylaws provide. If none is held within any 13-month period, the district court may order one on a member's application; missing it does not dissolve the corporation. Special meetings may be called by the president, the board, or whoever the articles or bylaws name; if those documents are silent, members having one-twentieth of the votes entitled to be cast may call one. The Homeowner Association Act's 10-to-50-day notice and 13-month annual meeting overlay this for Article 16 communities.
