Any action this Act requires or permits at a meeting of members or directors may be taken without a meeting if a written consent setting forth the action is signed by all of the members entitled to vote on the matter, or all of the directors, as the case may be. The consent has the force of a unanimous vote and may be so stated in any articles or document filed with the secretary of state.
