A director shall perform duties in good faith, in a manner the director believes to be in or not opposed to the best interests of the corporation, and with the care an ordinarily prudent person would use in a like position under similar circumstances. Reliance on officers, employees, counsel, accountants, and board committees is allowed on the terms this section sets, but not if the director has knowledge that would make that reliance unwarranted. Article 16 overlays a fiduciary standard on declarant-appointed HOA directors and ordinary-and-reasonable-care on owner-elected ones.
